These Terms of Service ("Terms") govern the services provided by COGNIFY AI AUTOMATION LLC ("COGNIFY", "we", "us", or "our") to clients ("you"). By engaging our services or using this website, you agree to these Terms.
1. Services
COGNIFY provides website design, Shopify store setup, branding, and AI automation services. The specific deliverables, scope, and price for your project are defined in a written proposal or order confirmation agreed before work begins.
2. Quotes, fees, and payment
Project pricing is fixed per package as set out in your proposal. Unless stated otherwise, a deposit may be required before work begins, with the balance due on or before delivery. Ongoing or monthly services are billed in advance.
3. Timelines and delivery
We provide an estimated timeline for each project. Timelines depend on you supplying the required content, access, and feedback promptly. Delays in materials or approvals may extend the delivery date.
4. Revisions and scope
Each package includes a defined number of revision rounds. Work that falls outside the agreed scope may be quoted separately as an additional charge.
5. Client responsibilities
You are responsible for providing accurate information, content, and account access, and for ensuring you hold the rights to any materials you supply to us.
6. Intellectual property
On full payment, ownership of the final deliverables created specifically for you transfers to you, except for third-party assets, licensed components, and our own pre-existing tools and frameworks, which remain the property of their respective owners.
7. Third-party services
Our work may rely on third-party platforms (for example Shopify, payment providers, and automation tools). Your use of those services is subject to their own terms, and we are not responsible for their availability or actions.
8. Warranties and limitation of liability
Services are provided on a commercially reasonable basis. To the fullest extent permitted by law, COGNIFY is not liable for indirect, incidental, or consequential damages, and our total liability for any claim is limited to the amount you paid for the relevant service.
9. Termination
Either party may end an engagement with written notice. You remain responsible for fees for work completed up to the termination date.
10. Governing law
These Terms are governed by the laws of the Commonwealth of Kentucky, United States, without regard to its conflict of law rules.
